OpenAI Resolves Microsoft Legal Concerns Amidst $50 Billion Amazon Deal

This new agreement outlines a timeline for OpenAI’s collaboration with Microsoft while permitting OpenAI to sell its products via other cloud providers, including AWS.
Previously, Microsoft maintained exclusive rights to OpenAI’s intellectual property until the achievement of Artificial General Intelligence (AGI). Under the new terms, this exclusivity has been lifted, allowing OpenAI to license its products and models to other companies until 2032. Despite this change, Microsoft remains OpenAI’s primary cloud partner, with most of OpenAI’s cloud services still expected to run through Azure.
The need for renegotiation stemmed from a deal in February 2026, in which Amazon agreed to invest up to $50 billion in OpenAI. This arrangement included terms for OpenAI to develop agent-making technology on AWS. However, conflicts arose because OpenAI’s existing agreement with Microsoft appeared to block OpenAI from exclusively offering such products through Amazon’s cloud.
As a result of the new partnership, Microsoft will not need to continue revenue shares with OpenAI, while OpenAI will still pay Microsoft a capped revenue share through 2030. Although this shift could mean lost revenue for Microsoft, they benefit significantly from their stake in OpenAI, owning around 27% of the company.
The updated agreement addresses potential legal disputes surrounding the Amazon deal, allowing OpenAI to broaden its reach in the cloud services market while still relying on Microsoft’s infrastructure.
