Revealing OpenAI’s New Board Lineup and Governance Structure

OpenAI has announced an updated board of directors and a new governance structure in the wake of recent chaos that led to the temporary ousting of CEO Sam Altman, who was shortly recruited by Microsoft, and then quickly reinstated at the AI research company.
In a statement, OpenAI revealed that Altman will rejoin the board along with three new independent directors: Sue Desmond-Hellmann, ex-CEO of the Bill and Melinda Gates Foundation; Nicole Seligman, past executive vice president and general counsel at Sony Corporation; and Fidji Simo, CEO and chair of Instacart.
Bret Taylor, Chair of the OpenAI board, expressed his excitement at welcoming Sue, Nicole, and Fidji to the OpenAI Board of Directors and said, “Their experience and leadership will allow the Board to supervise OpenAI’s expansion, ensuring that OpenAI’s mission of guaranteeing artificial general intelligence’s benefits for all of humanity is pursued.”
The prior board members who stepped down in the midst of the recent turbulence included Helen Toner of Georgetown’s Center for Security and Emerging Technology, OpenAI Chief Scientist Ilya Sutskever, and entrepreneur Tasha McCauley.
Altman and Greg Brockman will persist in their roles as CEO and President of OpenAI, respectively, under the guidance of the newly led board by ex-Salesforce CEO Bret Taylor.
“We have mutually arrived at the decision that Sam and Greg are apt leaders for OpenAI,” expressed Taylor.
The present directors, Adam D’Angelo of Quora and ex-US Treasury Secretary Larry Summers, hold their positions intact on the board.
An independent examination conducted by WilmerHale, a legal firm, showed that while the previous board could dismiss Altman, his doings didn’t warrant such action.
This board change comes after a phase of instability at OpenAI. Altman’s abrupt termination in the previous month induced an internal petition among employees and garnered public criticism due to governance issues.
In response to this, the board declared their decision to execute significant improvements in the governance structure of OpenAI. These include the approval of a fresh set of corporate governance rules, enhancing the company’s conflict of interest policy, initiating an incognito reporting hotline for employees and contractors, and establishing additional committees such as a mission and strategy team to concentrate on carrying out OpenAI’s main mission.
OpenAI’s future plans involve progressing past the incident under a freshly established oversight and accountability system, backed by a renovated board, reinforced policies, and a pledge towards transparency.
“We recognise the magnitude of our role in stewarding transformative technologies for the global good,” concludes Taylor.
